Terms of Use

Terms governing use of the ResoSynth website, accounts, hosted services, and related offerings.

Please read these Terms carefully. By accessing the ResoSynth website, creating or using an account, downloading the software, or using ResoSynth services, you agree to these Terms of Use. The Software License Agreement and Technical Disclaimer are incorporated into these Terms by reference.

1. Scope and acceptance

These Terms of Use ("Terms") govern access to and use of ResoSynth websites, accounts, hosted services, download services, software-related services, and other ResoSynth offerings that reference these Terms (collectively, the "Services"). "ResoSynth," "we," "us," and "our" refer to the ResoSynth business providing the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Engineering and business use

ResoSynth is intended for qualified RF, microwave, electromagnetic, mechanical, and related engineering users. You are responsible for deciding whether ResoSynth is appropriate for your intended application and for obtaining any independent engineering review, regulatory approval, certification, or testing required for your product or project.

ResoSynth is not a substitute for professional engineering judgment, full design verification, safety review, regulatory compliance, or physical validation. The Technical Disclaimer contains important limitations.

3. Accounts and security

  • You must provide accurate account information and keep credentials confidential.
  • You may not share credentials in a manner that circumvents purchased user, seat, or device limits.
  • You are responsible for activity performed through your account unless caused by ResoSynth's breach of its obligations.
  • You must promptly notify us at sales@resosynth.com if you believe your account has been compromised.

4. Licenses, subscriptions, and access

Software use is governed by the Software License Agreement and by the plan, term, device count, features, and other entitlements assigned to your account. Subscription access may end when the subscription expires or is terminated. A perpetual license, where expressly purchased and assigned, remains subject to the Software License Agreement and does not necessarily include perpetual hosted-service availability, updates, support, or future features.

5. Acceptable use

You may not:

  • access or use the Services unlawfully or to violate third-party rights;
  • circumvent authentication, licensing, device limits, feature controls, rate limits, or security mechanisms;
  • probe, scan, attack, interfere with, or overload ResoSynth systems;
  • upload malicious code or use the Services to distribute malware;
  • misrepresent ResoSynth output as independently certified, guaranteed, or validated by ResoSynth;
  • use automated means to extract substantial portions of the Services except as expressly authorized.

6. Intellectual property

ResoSynth and its licensors retain all rights in the software, websites, interfaces, solver implementations, algorithms, documentation, branding, and other ResoSynth materials. No ownership of ResoSynth intellectual property transfers to you except for the limited license expressly granted.

Subject to these Terms and the Software License Agreement, ResoSynth does not claim ownership of your engineering specifications, project inputs, or the design geometry and engineering outputs generated for you from your inputs. You are responsible for ensuring that your inputs and use of outputs do not infringe third-party rights.

7. Availability, updates, and changes

We may maintain, update, modify, suspend, or discontinue portions of the Services. Hosted features may occasionally be unavailable because of maintenance, provider outages, security events, or other causes. We do not guarantee uninterrupted or error-free availability.

8. Third-party services

ResoSynth may rely on third-party infrastructure or software, including authentication, hosting, storage, operating-system, and engineering-platform components. Third-party products and services are governed by their own terms and may change independently of ResoSynth.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE." RESOSYNTH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT RESULTS WILL MATCH FULL 3D ELECTROMAGNETIC SIMULATION, MANUFACTURED HARDWARE, OR MEASURED PERFORMANCE.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESOSYNTH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; OR COSTS OF REDESIGN, REWORK, SCRAP, MACHINING, FABRICATION, TESTING, DELAY, RECALL, OR REPLACEMENT, ARISING FROM OR RELATED TO THE SERVICES OR SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESOSYNTH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, SOFTWARE, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO RESOSYNTH FOR THE AFFECTED PRODUCT OR SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR US $100 IF YOU PAID NOTHING DURING THAT PERIOD.

11. Your responsibility and indemnity

You are responsible for your engineering decisions, manufacturing releases, certifications, safety determinations, and use of ResoSynth outputs. To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ResoSynth from third-party claims arising from your unlawful use of the Services, violation of these Terms, or use of ResoSynth outputs in a product or system without appropriate independent verification, except to the extent caused by ResoSynth's own unlawful conduct.

12. Suspension and termination

We may suspend or terminate access for nonpayment, expiration, material breach, attempted circumvention of licensing or security controls, unlawful use, or conduct that creates material risk to the Services or other users. Upon termination, rights granted under these Terms end except provisions that by their nature should survive.

13. Export and sanctions compliance

You are responsible for complying with applicable export-control, sanctions, and trade laws governing your access to, use of, or transfer of software, technical data, or generated designs.

14. Governing law and disputes

To the maximum extent permitted by applicable law, these Terms are governed by the law applicable at ResoSynth's principal place of business, without regard to conflict-of-law principles. Any court proceeding that is not subject to a mandatory statutory forum must be brought in a court having jurisdiction over ResoSynth's principal place of business. Mandatory rights and forums that cannot legally be waived remain unaffected.

15. Changes to these Terms

We may update these Terms from time to time. The effective date and version appear at the top of this page. Material changes may be presented for renewed acceptance when appropriate. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.
