1. License grant
Subject to payment of applicable fees, your assigned entitlement, and compliance with this Agreement, ResoSynth grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the ResoSynth desktop software for your internal engineering and commercial design activities during the applicable license term.
The number of permitted users, devices, features, and the duration of the license are determined by the entitlement associated with your ResoSynth account.
2. Subscription and perpetual licenses
Subscription license
A subscription license is valid only during the paid or otherwise authorized subscription period. Access may stop at expiration, cancellation, or termination.
Perpetual license
If your entitlement expressly states "perpetual," you may continue using the licensed version subject to this Agreement. Unless expressly stated in your order, a perpetual software license does not guarantee perpetual access to cloud-hosted calculation services, future operating-system compatibility, future updates, support, or new features.
3. Device and account limits
ResoSynth may enforce device activation and account-based access controls. You may use the software only within the device, user, or seat limits assigned to your license. Replacing a computer may require an administrator to release a prior device activation.
4. Permitted commercial use of design output
You may use ResoSynth-generated dimensions, response data, plots, tables, HFSS scripts, STEP geometry, and other generated engineering output in your own commercial engineering work, products, documentation, proposals, and manufacturing workflows, subject to third-party rights and the verification requirements in the Technical Disclaimer.
ResoSynth does not acquire ownership of your underlying engineering design merely because you used the software to synthesize or analyze it.
5. Restrictions
You may not, except to the extent a restriction is prohibited by applicable law:
- sell, rent, lease, sublicense, publish, distribute, or make the software available to third parties as a standalone product;
- share an account or installer in order to evade purchased seat or device limits;
- reverse engineer, decompile, disassemble, derive source code from, or attempt to discover non-public algorithms or implementation details of the software;
- remove or bypass licensing, authentication, copyright, proprietary, or security notices or controls;
- modify the software to defeat entitlement checks or hosted-service access controls;
- use ResoSynth branding in a way that implies ResoSynth has certified or approved a particular manufactured design.
6. Copies and installation
You may retain reasonable backup copies of lawfully obtained installers solely for your licensed use. Each installed copy remains subject to this Agreement. The ability to possess an installer does not create an entitlement to use hosted services or features after a license expires.
7. Software updates
ResoSynth may provide corrections, updates, new builds, or upgrades. Unless accompanied by separate terms, updates to the licensed software are governed by this Agreement. Feature availability may differ by plan or version.
8. Third-party components
The software may contain or interoperate with third-party software and libraries. Third-party components may be governed by separate notices or license terms, which remain applicable to those components.
9. Ownership
ResoSynth retains all right, title, and interest in the software, solver implementations, source code, interfaces, documentation, trademarks, and related intellectual property. This Agreement grants a license to use the software; it does not sell or assign the software or ResoSynth intellectual property.
10. Technical limitations and verification
The software is an engineering synthesis and reduced-order analysis tool, not a complete 3D electromagnetic, multiphysics, manufacturing-process, or certification environment. You must read and comply with the Technical Disclaimer. Final design responsibility remains with you.
11. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS LICENSED "AS IS," WITHOUT WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT CALCULATED OR EXPORTED RESULTS WILL MATCH FULL 3D SIMULATION OR MANUFACTURED HARDWARE.
12. Limitation of liability
The limitations of liability in the Terms of Use apply to this Agreement and are incorporated by reference, including exclusions for consequential damages and engineering, fabrication, rework, scrap, testing, and delay costs, to the maximum extent permitted by law.
13. Termination
This Agreement terminates automatically if you materially breach its license restrictions and fail to cure a curable breach after notice where required by law. ResoSynth may disable hosted-service access and entitlements upon expiration, cancellation, nonpayment, or termination. Sections concerning ownership, restrictions, disclaimers, liability, and other provisions intended to survive will continue after termination.
14. General
This Agreement, together with the Terms of Use, Technical Disclaimer, applicable order or entitlement, and any mandatory applicable law, constitutes the agreement governing your use of the software. If an order signed by ResoSynth expressly conflicts with this Agreement, the signed order controls only to the extent of that conflict.
